Terms of Service & License Agreement

1. Acceptance of Terms

By installing, deploying, or using the Global Meeting Scheduler Outlook Add-in or the companion TzPlanner API (collectively, the "Service"), you agree to be bound by these Terms of Service ("Agreement"). If you represent an organization, you affirm that you have the legal authority to bind your entity.

2. License Grant & Permitted Use

The Publisher grants you a non-exclusive, non-transferable, revocable license to install and use the Service within your Microsoft 365 environment for internal business or personal meeting scheduling and timezone optimization.

Enterprise Deployment: Administrators may centrally deploy the Add-in across their organization or designated pilot security groups via Microsoft 365 Integrated Apps.

3. Acceptable Use & Restrictions

You agree not to:

  • Decompile, reverse engineer, or disassemble the Service or its underlying calculation algorithms.
  • Probe, tamper with, or circumvent API authentication, token validation, or rate limits.
  • Sublicense, lease, or resell access to the TzPlanner API without prior written agreement.
  • Use the Service in violation of applicable laws or employee labor/works council agreements.

4. Intellectual Property

The Service, including its UI design, optimization algorithms (dual-debt weighting and biological burnout scoring), and the Global Meeting Scheduler brand, are the exclusive intellectual property of Michael Joseph Francis. All rights not expressly granted are reserved.

5. Privacy & Data Handling

We operate under strict Zero-Knowledge principles. As outlined in our Privacy Policy, the Service never reads or stores meeting content, subjects, or email bodies. All local preference caching utilizes domain-salted cryptographic hashes in accordance with European Works Council (BetrVG ยง 87) requirements.

6. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PUBLISHER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OF THE SERVICE.

7. Termination

You may terminate this Agreement at any time by uninstalling the Add-in or revoking enterprise consent in the Microsoft Entra admin center. The Publisher may suspend access in cases of abusive API usage.
